Trusted Wed Design Service Agreement
In consideration of Client retaining Trusted Web Design to design or redesign, and/or any web services for Client, it is agreed as follows:
1. Terms and Conditions
The above named Client retains Trusted Web Design, and agrees to perform the following services: designing or redesigning, and/or any web services for Client according to *specifications agreed upon, and detailed during checkout process, between Trusted Web Design and Client.
Client is solely responsible for supplying website content, authoring, organization, images in file format unless Trusted Web Design is hired specifically for this purpose and it is stated in the agreed upon specifications. If all text and graphics necessary to complete the work are not received by Trusted Web Design Corporation within 30 days from the date of contract, the balance of payment may become due and payable upon request. Any products or services not specified in this contract are not required of Trusted Web Design Corporation.
The following fees shall apply:
50% of fee is due before actual work is begun. The remaining 50% shall be due and payable when work is completed and shall be received before website is uploaded to it's final destination. This fee does not include: the cost of domain registration, hosting set up fee, hosting, merchant account, secure online authorization or shopping cart.
Trusted Web Design agrees to complete this project within the estimated budget, unless client requires additional work or services not agreed upon, or if client requires multiple design drafts or repeated changes which would significantly increase work required of Trusted Web Design Corporation.
Trusted Web Design will not charge any fees in addition to those specified in this contract without first consulting the client and reaching an agreement regarding this. If it becomes necessary for Trusted Web Design to bring legal action to collect any sums due under this Agreement, it shall be entitled to collect, in addition to all damages, its costs of collection, including reasonable attorney's fees.
Web Design and Development Project Cancellation/Rejection
If performance of the work is cancelled or work is rejected by the client, the client shall pay a cancellation/rejection fee as follows:
(i) 25% of the agreed quote if the work is cancelled/rejected before presentation of roughs;
(ii) 35% of the agreed quote if the work is cancelled/rejected at the presentation of rough stage;
(iii) 100% of the agreed quote if the work is cancelled/rejected on the delivery of the final version;
In the event of cancellation or rejection, ownership of all rights granted under this agreement shall revert to
Trusted Web Design unless the work is based on the client’s visual or otherwise agreed.
Web Design Project Copyright
Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Trusted Web Design for inclusion in the project are owned by client, or that client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend Trusted Web Design from any liability (including legal fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by client.
The copyright for all material provided by Trusted Web Design such as design, graphics, programming codes, photographs, text and any artwork will remain the property of Trusted Web Design until such time as payment has been made in full whereupon they will become the property of the client.
Trusted Web Design retain the right to display graphics, websites and other web design elements that Trusted Web Design created for clients as examples of their work in the portfolio.
Confidentiality
Trusted Web Design recognizes and acknowledges that this Agreement creates a confidential relationship between Trusted Web Design and Client and that information concerning Client's business affairs, customers, vendors, finances, properties, methods of operation, computer programs, and documentation,
and other such information, whether written, oral, or otherwise, is confidential in nature. All such information concerning Client is hereinafter collectively referred to as "Confidential Information."
